Idea Mutual NDA

This Mutual Non-Disclosure Agreement (“NDA”) is between you (the builder / student submitting an app idea) and Trinity Tech Aid operating TTA LaunchPad (“TTA,” “we,” “us”), including our authorized instructors, mentors, reviewers, and contractors who support your project through the Service.

Purpose: so you can share idea details, assessments, and related materials in TTA LaunchPad, and so TTA can provide educational coaching, AI-assisted drafting, mentor review, and Labs support without either party misusing the other’s confidential information.

By checking accept in the Idea Wizard (or otherwise agreeing), you and TTA agree to this NDA for that project submission. This NDA supplements our Terms of Use and Privacy Policy.

“Confidential Information” means non-public information disclosed in connection with your project on TTA LaunchPad, including:

• Your app idea descriptions, problem statements, customer interviews, business and technical blueprints, roadmaps, pricing, and unpublished product materials
• Feedback, session notes, and coaching materials TTA or mentors share with you that are marked confidential or would reasonably be understood as confidential
• Access credentials, private repos, and unpublished datasets you choose to share inside the Service

Confidential Information does not include information that:

• Is or becomes public through no breach of this NDA
• Was already lawfully known to the receiving party without duty of confidentiality
• Is independently developed without use of the other party’s Confidential Information
• Is rightfully received from a third party without a confidentiality duty
• Must be disclosed by law, regulation, or court order (with notice where legally permitted)

You agree to:

• Submit only information you have the right to share (no third-party trade secrets or regulated data without authorization)
• Keep TTA mentoring materials, internal playbooks, and unpublished curriculum shared with you confidential, except as needed for your own learning on the Service
• Not present TTA feedback as a guarantee of funding, customers, legal compliance, or product success (Educational Disclaimer)

When you accept this NDA, TTA agrees that authorized personnel who support your project (staff, instructors, mentors, and processors under contract) will:

• Use your Confidential Information only to operate TTA LaunchPad, provide coaching/review, generate educational AI outputs for your account, and improve the Service in de-identified or aggregated form where permitted by our Privacy Policy
• Not use your Confidential Information to build a competing product for TTA’s own commercial launch that copies your disclosed idea, except that general skills, know-how, and non-confidential patterns learned while educating many builders may be reused
• Limit access to people with a need to know for your program (e.g., your mentor, instructors, admins) under confidentiality obligations no less protective than this NDA
• Apply reasonable administrative and technical safeguards consistent with our Privacy Policy and platform security practices

AI vendors and subprocessors that process content to deliver the Service are bound by our vendor agreements; see the Privacy Policy. Do not paste highly sensitive regulated data into AI tools unless you accept that risk.

You retain ownership of your ideas and content you submit. TTA retains ownership of the Service, curricula, templates, and our pre-existing IP. Nothing in this NDA transfers ownership or grants a license to commercialize the other’s IP, except the limited license in the Terms needed to operate the Service for you.

This NDA is not a partnership, employment, or joint venture, and does not obligate TTA to invest in, build, or launch your product.

Confidentiality obligations last for three (3) years from the date you accept this NDA for a project (or longer if required by law for trade secrets, for as long as the information remains a trade secret).

Breach may cause irreparable harm; either party may seek injunctive relief in addition to other remedies. Governing law and dispute process follow the Terms of Use unless a written amendment says otherwise.
